The relationship between an Owners Corporation or Association and its Strata Managing Agent is one of “principal and agent” and is clearly a fiduciary relationship. A fiduciary duty exists where a person or company is required to put another person’s interests before their own. It arises from a relationship of trust and confidence, such as the relationship between agents and their principals. With this, managing agents must ensure that they appropriately disclose any form of commission received from contractors or suppliers, and equally declare any gifts given. Where a gift or commission effects an agent’s ability to act in the best interest of their client, this becomes an issue.
